Terms of Service

These Terms of Service govern your use of UpBizzy, including the website, dashboard, generated business sites, AI tools, subscriptions, billing features, advertising features, and related services. By using UpBizzy or engaging our services, you agree to these terms.

1. Scope of Services

UpBizzy helps businesses create and operate business websites, manage business information, run AI-assisted tasks, receive leads, connect related tools, manage subscriptions and credits, and use optional advertising features. Some services may also include setup, implementation, support, or consulting work. The exact scope, deliverables, timelines, and pricing for any custom services are defined in the applicable checkout, plan details, proposal, statement of work, or written agreement.

2. Project Terms and Payment

Fees, billing schedules, and payment terms are defined in the applicable commercial agreement. Unless otherwise stated, invoices are due within the period listed on the invoice. Late payments may result in paused work and delivery delays.

3. Advertising Features and Ads Wallet

Advertising features are optional and may be limited to eligible paid plans, supported countries, disabled workspaces, or manual review. For V1, self-serve ads are available only for businesses in the United States, Canada, United Kingdom, and Australia. If you enable ads and set a daily budget, you authorize us to charge your saved payment method for daily ads top-ups up to the selected budget while billing is active.

Each ads top-up is split between ads meta spend for Meta Facebook or Instagram delivery and an UpBizzy ads service fee. Unless shown otherwise in-product, the ads service fee is 20% of the daily budget and the remaining 80% is allocated to Meta ad delivery. We show ads meta spend and ads service fee separately in the ads wallet and transaction history. The ads service fee covers managed ads operations, including AI monitoring, creative generation, creative rotation, and platform operations.

Meta may pace spend unevenly across a day or across days while attempting to deliver against the selected budget. Reporting can lag, so spend shown for the current day may be an estimate until final reconciliation settles. We do not guarantee ad approval, delivery, impressions, clicks, leads, revenue, or any specific advertising result.

Special-category, restricted, regulated, or high-risk ads, including ads involving housing, employment, credit, insurance, politics, healthcare, financial services, education, or essential services, may require manual review before launch and may be blocked if not supported by UpBizzy or the applicable ad platform.

Delivered or committed Meta spend is non-refundable. Ads service fees tied to delivered or committed Meta spend are also non-refundable. If ads are wound down or hard-stopped before the ads balance is fully committed, any unused uncommitted ads balance is preserved as ads balance after final reconciliation. We do not promise automatic refunds to the original payment method. Any exception requires manual billing review and will not cover delivered or committed spend.

A hard stop pauses delivery as soon as practicable and stops future ads billing. Final Meta reporting and reconciliation may still arrive after the hard stop, and Meta learning may reset when ads are restarted.

4. Client Responsibilities

Clients agree to provide timely access to required systems, environments, approvals, and subject-matter input. Project timelines and outcomes depend on this cooperation.

5. Third-Party Platforms and Models

AI growth solutions may rely on third-party services such as speech recognition, text-to-speech, telephony providers, Meta advertising platforms, Stripe, and large language model platforms. UpBizzy is not responsible for outages, policy changes, pricing changes, approvals, rejections, suspensions, or behavior of third-party services outside our control.

6. Intellectual Property

Unless otherwise agreed in writing, each party retains ownership of its pre-existing intellectual property. Upon full payment, clients receive the rights to project deliverables specified in the agreement. UpBizzy retains ownership of internal tools, frameworks, templates, generated-site systems, and know-how used to provide services.

7. Confidentiality

Both parties agree to protect confidential information shared during the engagement and to use it only for delivering or receiving the agreed services.

8. Warranties and Disclaimers

Services are provided on a professional best-effort basis. Except where expressly stated in writing, UpBizzy disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. AI outputs, generated websites, business recommendations, and advertising workflows can be probabilistic and require human review.

9. Limitation of Liability

To the maximum extent permitted by law, UpBizzy is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, revenue, or data. Total liability for any claim is limited to the fees paid for the services giving rise to that claim.

10. Termination

Either party may terminate an engagement as allowed by the governing agreement. Clients remain responsible for payment of fees for services performed up to the termination date.

If advertising features are terminated, active ads may be paused immediately, future ads billing stops, and unused uncommitted ads balance is preserved as ads balance after final reconciliation. Delivered or committed Meta spend and related ads service fees remain non-refundable.

11. Updates to These Terms

We may update these Terms of Service from time to time. Updated terms become effective when posted on this page. Continued use of our website or services after updates indicates acceptance of the revised terms.
